INDEPENDENT CONTRACTOR AGREEMENT

This is an agreement is made between Inspexperts LLC and all independently contracted individuals and
entities registered with Inspexperts LLC via Inspexperts.net.

1. Services to Be Performed
The independently contracted parties agrees to perform the following services:

Inspections i.e.
Pre Purchase Vehicle Inspections
Vehicle Diagnostic Inspection

2. Payment
In consideration for services performed by independently contracted parties, Inspexperts LLC agrees to
pay said contractors at a rate of 50% (fifty percent) of the pre-tax inspection rate.

Contractors shall be paid bi-weekly for the accrued total of their successful performed inspection
submissions during the prior payment period.

3. Expenses
Independent contractors shall be responsible for all expenses incurred while performing services under
this agreement.

This includes travel expenses, personal vehicle maintenance and repair costs, fines incurred, telephonic
communication cost, required licenses fees and permits, insurance premiums, road, fuel, and all
subsequent taxes.

4. Vehicles and Equipment
Independent contractors are to furnish all vehicles, equipment, tools, and materials used to provide
inspection services required by this agreement. As a condition of this agreement Inspexperts LLC
requires independent contractors to furnish all tools and equipment necessary to accurately perform
provided services, said tools and equipment include but are not limited to:

ASE Certification
Camera
Disposable Shoe and Boot Covers
Driver's License
Smart Phone, Tablet, Laptop
Diagnostic Scanner
Flashlight
Gloves
Multimeter
Pliers
Rags
Screw Driver
Thermal Thermometer (Infrared)
Tire Pressure Gauge
Tire Tread Depth Gauge

5. Independent Contractor Status
All contracted parties are deemed to be independent contractors, and neither contractor nor
contractors employees or contract personnel are, or shall be deemed employees of Inspexperts LLC. By
entering into this agreement all contractors agree to represent Inspexperts LLC as follows.
Independent contractors have the right to perform services for others entities during the term of this
agreement.
Independent contractors do not have the right to hire assistants as subcontractors or to use employees
to provide the services required by this agreement.
All provided services entered into via this agreement shall be performed solely by independently
contracted personnel, and Inspexperts LLC shall not hire, supervise, or pay any assistants to help said
contractor.
Independently contracted personnel shall receive any training from Inspexperts LLC in regards to the
professional skills necessary to perform the services required by this agreement.

6. Business Licenses, Permits, and Certificates

Independently contracted personnel agree to comply with all federal, state, and local laws requiring
drivers and other licenses, business permits, and certificates required to carry out the provided services
to be performed under this agreement on behalf of Inspexperts LLC.

7. State and Federal Taxes
Inspexperts LLC will not:
Withhold FICA (Social Security and Medicare taxes) from independent contractors payments or make
FICA payments on contractors behalf.
Make state or federal unemployment compensation contributions on independent contractors behalf,
or
Withhold state or federal income tax from independent contractor payments.
Independently contracted parties shall pay all taxes incurred while performing services under this
agreement, including all applicable income taxes.

8. Fringe Benefits
Independently contracted personnel understand that they are not eligible to participate in any
employee pension, health, vacation pay, sick pay, or other fringe benefit plan of Inspexperts LLC.

9. Unemployment Compensation
Inspexperts LLC shall make no state or federal unemployment compensation payments on behalf of
independently contracted parties and subsequently independently contracted parties are not be
entitled to such benefits in connection with work performed under this agreement.

10. Workers’ Compensation
Inspexperts LLC shall not obtain workers compensation insurance on behalf of independently contracted
personnel.

11. Insurance
Inspexperts LLC shall not provide insurance coverage of any kind for independently contracted
personnel and as such Inspexperts LLC will not be held liable in any regards to damages occurring
representing Inspexperts LLC in any way.

12. Indemnification

Contractors shall indemnify and hold Inspexperts LLC harmless from any loss or liability arising from
performing services under this agreement.

13. Term of Agreement / Modifying the Agreement
This agreement will become effective upon the independently contracted parties initial registration via
Inspexperts.net and shall remain in effect indefinitely and may be altered at any time without any notice
of changes prior to or post alteration.

14. Terminating the Agreement
Inspexperts LLC may terminate this agreement effective immediately upon findings providing
reasonable cause.
Reasonable cause includes:
A material violation of this agreement.
Any act exposing the other party to liability to others for personal injury or property damage.

17. Resolving Disputes
If a dispute arises under this agreement, either party may take the matter to Nevada state court,
jurisdiction of the county of Clark.

18. Confidentiality
Independent contractors acknowledge that it will be necessary for Inspexperts LLC to disclose certain
confidential and proprietary information to independently contracted parties in order for services to be
performed under this agreement. All contractors acknowledge that disclosure to a third party or misuse
of this proprietary or confidential information would irreparably harm Inspexperts LLC. Accordingly,
independently contracted parties will not disclose or use, either during or after the term of this
agreement, any proprietary or confidential information of Inspexperts LLC without Inspexperts prior
written permission except to the extent necessary to perform services on Inspexperts behalf.
Proprietary or confidential information includes:
Written, printed, graphic, or electronically recorded materials furnished by Inspexperts LLC for
independent contractor to use
Any and all written or tangible information stamped “confidential,” “proprietary,” or with a similar
legend, or any information that Inspexperts LLC makes reasonable efforts to maintain the secrecy o

Business or marketing plans or strategies, customer lists, operating procedures, trade secrets, design
formulas, know-how and processes, computer programs and inventories, discoveries, and
improvements of any kind, sales projections, and pricing information.
Information belonging to customers and suppliers of Inspexperts LLC about whom independently
contracted personnel gained knowledge as a result of independent contractors services to Inspexperts
LLC.
Upon termination of independent contractors services to Inspexperts LLC, or at Inspexperts request, all
independently contracted parties shall deliver to Inspexperts LLC all materials in contractors possession
relating to Inspexperts LLC business dealings and operations.
Contractor acknowledges that any breach or threatened breach of clause 18 (eighteen) of this
agreement will result in irreparable harm to Inspexperts LLC for which damages would be an inadequate
remedy. Therefore, Inspexperts LLC shall be entitled to equitable relief, including an injunction, in the
event of such breach or threatened breach of clause 18 (eighteen) of this agreement. Such equitable
relief shall be in addition to Inspexperts rights and remedies otherwise available at law.

19. Proprietary Information.

A.) The product of all work performed under this agreement (“Work Product”), including without
limitation all notes, reports, documentation, drawings, computer programs, inventions, creations,
works, devices, models, work-in-progress and deliverables will be the sole property of the Inspexperts,
and all independent contractors hereby assigns to Inspexperts LLC all right, title and interest therein,
including but not limited to all audiovisual, literary, moral rights and other copyrights, patent rights,
trade secret rights and other proprietary rights therein. Independent contractors retain no right to use
the Work Product and agree not to challenge the validity of Inspexperts LLC ownership in the Work
Product.

B.) Independent contractors hereby assign to Inspexperts LLC all right, title, and interest in any and all
photographic images and videos or audio recordings made by Inspexperts LLC during independently
contracted work for Inspexperts LLC, including but not limited to any royalties, proceeds, or other
benefits derived from such photographs or recordings.

C.) Inspexperts LLC will be entitled to use contractors name and/or likeness for use in advertising as well
as any other corporate materials.

20. No Partnership

This agreement does not in any way create a partnership relationship between Inspexperts LLC and
independently contracted parties and as such independently contracted parties have no authority to
enter into contracts on Inspexperts behalf.

21. Assignment and Delegation
Independently contracted parties may not assign or subcontract any rights or delegate any of its duties
under this agreement.

22. Applicable Law
This Agreement will be governed by Nevada law, without giving effect to conflict of laws principles.

23. Severability
If any provision of this contract is found to be invalid, all parties involved agree to sever the invalid
portion of the contract leaving the remainder of the contract valid and enforceable.
